1. Scope
These General Terms and Conditions apply to all B2B transactions of Ameta SAGL with customers from the gastronomy, hospitality, and commercial sectors (planning, sales, delivery, installation, service). Deviating terms of the customer are only valid if Ameta SAGL agrees in writing.
2. Offers & Conclusion of Contract
Our offers are non-binding. A contract is concluded by written order confirmation, signing of an offer, or delivery/provision of services. Technical changes, model changes, and price adjustments are reserved.
If a detailed kitchen plan in AutoCAD (DWG format) is created as part of an offer and the customer subsequently chooses another provider, a compensation fee of 2% of the total amount stated in the offer will be charged.
3. Prices & Payment
All prices in CHF excl. VAT, transport, shipping, packaging, installation, disposal, fees, and duties, unless otherwise specified.
Payment term according to offer/invoice (usually: 30 days net). In case of late payment: default interest, dunning and collection costs. Ameta SAGL may demand advance payment/partial payments.
4. Delivery, Transfer of Risk & Dates
Delivery periods are non-binding unless fixed in writing. Transfer of risk occurs upon handover to the carrier/recipient. Partial deliveries are permissible. Delays due to force majeure, supply bottlenecks, official measures, or lack of customer cooperation will extend deadlines appropriately.
5. Assembly & Commissioning
Installations are carried out according to the offer. Customer-side requirements: on-site connections (electricity, water, gas, exhaust air), structural clearances, load-bearing capacity, access routes, disposal of old equipment, access/appointments. Additional work (modifications, welding, special adaptations) will be charged separately. After installation, a function check/handover takes place; inspection/acceptance protocols serve as approval.
6. Retention of Title
Delivered goods remain the property of Ameta SAGL until full payment. Entry in the retention of title register is reserved.
7. Warranty
For new equipment, the manufacturer’s warranty applies according to the conditions of the respective manufacturer (duration/scope). Wear parts, consumables, improper use, lack of maintenance, on-site defects, force majeure are excluded. Warranty requires professional installation and proper maintenance.
Defects must be reported immediately in writing (with photos/defect description). Ameta SAGL will, at its discretion, provide rectification, replacement delivery, or credit. Further claims according to section. 9.
8. Service & Maintenance
Service calls are charged at the currently valid rates (travel, working time, material). Maintenance contracts can be concluded separately. Emergency service subject to availability; surcharges according to tariff (night/weekend/holidays).
9. Liability
Ameta SAGL is liable for direct damages in cases of unlawful intent or gross negligence. Further/indirect damages, consequential/production loss, lost profits, and data loss are excluded – to the extent legally permissible. Mandatory statutory liabilities remain unaffected.
10. Data Protection
Processing of personal data according to the privacy policy (DSG/GDPR). The customer informs their own employees/contact persons about the data processing and ensures the legality of their data provision.
11. Intellectual Property
Plans, drawings, layouts, bills of materials, documentation, and texts remain the intellectual property of Ameta SAGL, unless expressly transferred. Use is only for the agreed project; disclosure to third parties requires written consent.
12. Force Majeure
Events beyond control (e.g. natural events, war, strike, official orders, epidemics/pandemics, supply chain disruptions) release Ameta SAGL from performance obligations for the duration and to the extent of the impact.
13. Contract Amendments & Assignment
Amendments/supplements must be in writing. Rights and obligations may only be assigned/transferred with the consent of the other party (statutory assignments reserved).
14. Applicable Law & Place of Jurisdiction
Swiss law applies, excluding conflict of laws and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is – to the extent permissible – the registered office of Ameta SAGL (TI).
15. Severability Clause
Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected. It shall be replaced by an effective provision that comes closest to the economic purpose.
